When the CEO Goes Abroad

It is important to understand that information about the CEO of a limited liability company is contained in the Unified State Register of Legal Entities (USRLE). Consequently, changing the CEO in an LLC requires state registration of the changes. The procedure for registering changes in the founding documents must be carried out no later than within 3 days after the adoption of the relevant decision by the general meeting of the Company's founders. If this requirement is violated, the company will be fined 5,000 rubles.

The procedure for changing the CEO of an enterprise includes several stages. The decision to change the CEO and register changes in the USRLE is made by the sole member of the LLC or the general meeting of the Company's founders. At the meeting, a minutes of the general meeting of LLC participants must be drawn up, which is included in the package of documents for state registration of changes. If the LLC was established by a sole founder, then they draw up a sole decision of the Company's participant to change the head of the enterprise.

The next stage of the event is the preparation of documents for registering these changes. Regardless of whether it is necessary to register an LLC or make changes to the company's founding documents, you will have to fill out an application and have it certified by a notary. The application must be filled out correctly, as even the slightest inaccuracies may result in a refusal to register the changes. Attached to the application must be a sheet with information about the person who has the right to act on behalf of the legal entity without a power of attorney, as well as a sheet with information about the applicant.

The applicant when changing the CEO of an LLC can only be the person holding that position. Not only the old but also the new CEO of the enterprise can apply to the Inspectorate of the Federal Tax Service (IFTS) for registration of changes. In practice, the new director takes on the responsibilities. Registration of changes will be carried out only upon verification of the authenticity of the applicant's signature.

For this reason, the CEO provides not only a passport but also a whole package of documents. It includes: certificates of assignment of TIN, OGRN, certificates of previously made changes to the founding documents, the decision to establish the LLC, the current Charter of the Company, the order appointing the CEO of the enterprise, as well as an extract from the USRLE.
