A Limited Liability Company, after state registration, may freely act in civil legal relations not prohibited by law, on its own behalf, and shall bear liability for all actions as provided by law.
State registration of an LLC empowers the legal entity to engage in all types of activities provided for in the charter of the Limited Liability Company. Certain types of activities provided for by law, an LLC may engage in only after obtaining a special permit (license) by the legal entity. If the activity of the Limited Liability Company involves obtaining a permit (license), then after state registration it has the right to submit documents to obtain such permit (license).
Civil legal capacity may be limited only in one case – if such a decision is made by a court. But since a Limited Liability Company after state registration is endowed with legal capacity, which endows it with a multitude of rights, the LLC has the right to appeal all court decisions in the prescribed manner.
Also, LLC registration gives it the opportunity to protect its rights in court. The civil legal capacity of a Limited Liability Company arises from the moment of state registration and ceases from the date of entry into the unified state register of the record on termination of the LLC's activities. LLC registration obliges it to create a governing and executive body of the company. After registration, the LLC acquires civil rights and obligations and exercises them through its bodies, which act on the basis of the charter documents and the law.
In exceptional cases established by law, a Limited Liability Company may acquire civil rights and obligations through its participants. Any persons acting on behalf of a duly registered LLC must act in the interests of the company, in good faith and reasonably, within the scope of authority provided by the charter documents and the law.
If members of an LLC body or other persons who, in accordance with the law or charter documents, act as representatives of a registered enterprise on behalf of the Limited Liability Company, exceed their authority or violate their duties regarding representation, they shall be jointly and severally liable for damage caused by them to the LLC.
From the above, it is clear that the registration of a Limited Liability Company is a fundamental action that allows having civil rights and obligations and gives the company the right to enjoy them.
