Liquidation of a representative office of a foreign company

A foreign representative office is a legal entity established under the current laws of a foreign state on its territory. These include companies, firms, corporate entities, international organizations, their branches, representative offices that have civil legal capacity.

Any foreign company has the right to register and conduct economic activities in Ukraine by establishing a branch or representative office. Its civil law obligations include paying taxes along with domestic companies. At the same time, its registration and liquidation of a representative office of a foreign company is carried out on the basis of the existing legislative framework in Ukraine.

The closure of a representative office or branch of a foreign organization occurs on the basis of a decision made by the parent organization. There is no clear template for this decision; it is drawn up in free form with an indication of the main points on termination of activities in Ukraine and appointment of an executor (with a power of attorney issued to him). The closure of a branch or representative office of a foreign legal entity is carried out by depriving it of accreditation and excluding it from the relevant consolidated state register.

The liquidation of a representative office of a foreign enterprise is a procedure similar to that of domestic organizations. However, the fact that the founder of such a representative office is an investor who is not a resident of the country makes its own adjustments.
